These Terms & Conditions govern how Lesley Badelles (“we”, “us”, “our”) works with clients.
By engaging our services, you agree to the following.
1. Overview
We provide strategic and structural advisory services focused on identifying what’s not working in your business and defining what needs to change.
This is not general consulting or ongoing support by default.
Each engagement is defined, intentional, and outcome-focused.
2. Services
Services may include:
- Business structure diagnostics
- Identification of breakdowns in operations, roles, and decision-making
- Strategic recommendations and next steps
We provide clarity and direction.
Implementation remains your responsibility unless explicitly agreed.
3. Engagement Model
Work is delivered in two primary formats:
Diagnostic (Entry Point)
A focused review of your business to identify where things are breaking and what needs to change.
- Paid 100% upfront
- Required before any ongoing engagement
Retainer / Engagement
Ongoing or defined engagements to work through structural changes.
- Delivered under a retainer model or agreed fixed scope
- Scope, duration, and deliverables are defined upfront
4. Fees & Payment
- Diagnostic engagements are paid in full upfront
- Retainer or project-based work requires a committed payment structure (e.g. upfront or staged as agreed)
All fees are agreed prior to commencement.
Work will not begin until payment is received.
5. Refunds
- No refunds are provided once work has commenced
- If an engagement is cancelled before work begins, any refund is at our discretion
You are not purchasing a product — you are entering a structured advisory process.
6. Client Responsibility
You are responsible for:
- Providing accurate and relevant information
- Making decisions based on the advice provided
- Implementing any recommended changes
We provide clarity and direction.
Outcomes depend on how that clarity is applied.
7. No Guarantees
We do not guarantee specific business outcomes, including:
- Revenue growth
- Operational performance
- Business results
We guarantee a clear, structured understanding of what is and isn’t working.
8. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, or consequential loss
- Our total liability is limited to the amount paid for the services provided
All decisions and actions taken based on our advice remain your responsibility.
9. Confidentiality
All information shared during the engagement is treated as confidential.
We will not disclose your information to third parties without your consent, except where required by law.
10. Intellectual Property
All frameworks, methodologies, and materials provided remain the intellectual property of Lesley Badelles.
You may use the insights and recommendations within your business, but they may not be reproduced, distributed, or resold.
11. Termination
We reserve the right to terminate an engagement if:
- There is a breakdown in communication
- Scope is repeatedly exceeded
- Alignment is no longer present
Any work completed up to that point remains payable.
12. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
